How the Type B Investment Scheme Works?

It’s simple:

  1. Start by purchasing Class B units.
  2. Continue investing each month.
  3. Do not skip any month and do not redeem your units before the 36th month.
  4. Redeem your units with a bonus– a reward for your consistency.

If you do not complete the scheme, you won’t receive the preferential redemption price, but your investment remains intact. When you decide to sell your shares, a redemption fee will apply.

You can also purchase Class B units as a one-time investment without committing to the scheme; in this case, a 2% redemption fee applies.

The one-time monthly contribution in class B units, respectively the monthly investment under Investment Scheme Type B, has a minimum threshold of 50 euros or their leva equivalent at the official exchange rate of the Bulgarian National Bank on the date of submission of the order.

What Are Class A and Class B Units


MF SKY New Shares and MF SKY Finance issue two classes of units: Class A and Class B.

The rights of investors in both classes are identical; the only differences are in the issue and redemption prices. Both classes share the same portfolio of shares and other financial assets.

Class A Units – This was the first issuance of units for both funds. All units purchased in MF SKY New Shares and MF SKY Finance before 19 December 2009 are Class A units. Ownership of Class A units is not linked to a specific investment scheme. A subscription fee of 0.75% to 1.5% applies when purchasing Class A units, depending on the amount invested, while no fees apply upon redemption. There is no minimum or maximum investment amount for Class A units.

Class B Units – This is the second issuance of fund units, offering an additional investment opportunity. If the conditions for regular investing are met, Class B units provide cost-free purchases and a 0.5% NAV bonus upon redemption. The minimum order value for the purchase of Class B shares is 50 euros or their BGN equivalent at the official exchange rate of the Bulgarian National Bank on the date of submission of the order.

What Is a Type B Investment Scheme?


Every investor who purchases Class B units is considered to have started a Type B Investment Scheme.

Following the scheme involves purchasing Class B units every month with a minimum value of 50 euros or their BGN equivalent at the official exchange rate of the Bulgarian National Bank on the date of submission of the order. The scheme lasts for a minimum of 36 months. During the last 12 months of the scheme, the total contributions made by the investor must not exceed the total contributions made in the preceding period.

Class B units are purchased at the net asset value (NAV) per unit, with no subscription fees applied.

After the initial purchase, maintaining the Type B Investment Scheme requires monthly purchases of Class B units from the fund, at a value not less than the minimum threshold for contribution to class B units. Each purchase must be completed by the end of the current month, starting from the month of your first investment.

After 36 months, if all conditions are met — all contributions made on time and no Class B units sold or transferred — the scheme is considered successfully completed.

An investor may participate in only one Type B Investment Scheme at a time.

Right to a Preferential Redemption Price


Successfully completing a Type B Investment Scheme entitles you to redeem your Class B units at the preferential price. The preferential price includes the premium applicable on the day your specific Type B Investment Scheme was started.

All Class B units that you have acquired as a result of the executed scheme can be sold back to the fund, with no fees charged to the price, and a premium of 0.5% is paid.

Once the scheme has been successfully completed, you may continue making contributions under the same investment scheme – again without purchase fees – until you choose to redeem all or part of your Class B units.

Premium

For a successfully completed Type B Investment Scheme, no redemption fees apply, and the redemption price is equal to the net asset value (NAV) per unit plus a 0.5% premium.

For Type B Investment Schemes started between 2009 and 2017, the premium is 0.5%.

For Type B Investment Schemes starting after 2017, the premium remains 0.5% until any subsequent change is decided by the Management Company, in accordance with the Fund’s rules and prospectus.

Can Class B Units Be Purchased Without Follodwing an Investment Scheme?

Class B units can be bought and sold freely without any restrictions. You may make a one-time purchase of Class B units without participating in an investment scheme.

In this case, when you place a redemption order, you will not receive the bonus, and a 2% redemption fee of the net asset value per unit will be applied.

What Does a Terminated/Unfulfilled Investment Scheme Mean?

A terminated or unfulfilled Type B Investment Scheme refers to a scheme that has not been completed according to its terms. This can occur if the investor:

  • Fails to make the required monthly contributions, or
  • Sells or transfers Class B units before the end of the 36-month period.
  • In such cases, the scheme is considered terminated, and the preferential redemption price does not apply.

When you make your first purchase of Class B units, the Management Company considers that you have started a Type B Investment Scheme. However, if no subsequent purchases are made, the scheme is considered terminated. In the case of a terminated scheme, there are no consequences for your investment itself, except that a 2% redemption fee applies to the units.

A Type B Investment Scheme is also terminated in the following cases:

Missing a monthly contribution of at least the amount of the minimum threshold for Type B Investment Scheme within the first 36 months from the start of the scheme, without making up the missed contribution within 2 months;

Placing a redemption order for Class B units before the end of the 36-month period, whether for all or part of the units;

Selling or transferring Class B units to a third party in a way that does not comply with the Fund’s rules, even if such a transfer could otherwise have avoided termination.

Important: Termination of the Type B Investment Scheme does not terminate your investment in the Fund itself, which can only be ended through the standard redemption process.

Investors are under no obligation to make monthly contributions. If they do so and meet the terms of the investment scheme, they will receive a premium upon redemption.

Changes Effective from 01.11.2025

Starting 01.11.2025, the minimum monthly contribution for the Type B Investment Scheme will change from BGN 50 to EUR 50, or its BGN equivalent based on the official BNB exchange rate on the date the order is placed.

This change applies to:

  • All new Type B Investment Schemes started from 01.11.2025;
  • Any purchase of Class B units made from this date.

Investors with an ongoing Type B Investment Scheme as of 01.11.2025 may continue following the scheme under the conditions that were in effect when it was started.
